Delivery of items purchased from Walmart Inc. (“Walmart” or “us”) or third parties by uncrewed aerial vehicles (“Drones”) is a service offered by Walmart and operated by third party service providers to Walmart (the “Drone Delivery Providers”) (altogether, the foregoing in this sentence are defined as “Drone Deliveries” and each as a “Drone Delivery”). These Drone Delivery Terms of Use (“Drone Delivery Terms of Use”) are between you and Walmart as well as between you and the Drone Delivery Providers listed below, each of whose individual terms and conditions and privacy policies apply to Drone Deliveries and are incorporated by reference in and form a part of these Drone Delivery Terms of Use as stated in Section 14 of the Walmart.com Terms of Use (available here) (the “Drone Delivery Provider Terms”).

Before using Drone Deliveries, please read these Drone Delivery Terms of Use, the Walmart.com Terms of Use (available here), the W+ Terms of use (available here),  and the other applicable rules, policies, and terms posted by us through the Walmart mobile application (the “Walmart App”), all of which are incorporated into these Drone Delivery Terms of Use by reference (collectively, this “Agreement”).  By using Drone Deliveries and by responding “I agree” or “Place Order” in a website or mobile application made available to you by Walmart you agree to be bound by the terms of this Agreement. If you do not accept the terms of this Agreement, then you may not use Drone Deliveries.

We may change, suspend, limit, or discontinue Drone Deliveries, or any Drone Delivery Providers, at any time without notice.  We may amend any of this Agreement’s terms at our sole discretion by posting the revised terms under the terms of use section of Walmart.com (listed above) or through the Walmart App, or by notifying you of such changes by any other reasonable means.  Your continued use of Drone Deliveries after the effective date of the revised Agreement constitutes your acceptance of the revised terms.

1. Member Accounts. To be eligible to use Drone Deliveries, you must be 18 years or older and register your account with Walmart.com or be a Walmart+ member (an “Account”).  You are responsible for maintaining the confidentiality of your login credentials and are solely responsible for all Account activities that occur using your login credentials.  You agree not to allow a third party to use your login credentials at any time.  In order to view your delivery, you must download the Walmart App (for an Android or iPhone operating system only). From time to time, you may be required to update your Walmart App to use this Account functionality. 
2. Software License; Walmart Intellectual Property Rights 
   
   1. Limited License. Walmart hereby grants to you a limited, non-exclusive, non-transferable license (without the right to sublicense) to use Walmart.com, the Walmart App, any Third-Party Technology, as defined Section 14 of the Walmart.com Terms of Use (available here) (altogether the foregoing being referred to as the “Licensed Drone Delivery Software and Third-Party Technology”) for purposes of receiving Drone Deliveries, all subject to our Walmart.com Terms of Use (available here), including without limitation Section 11 of the Walmart.com Terms of Use, as well as any Drone Delivery Provider Terms, as defined Section 14 of the Walmart.com Terms of Use (available here).
   2. Restrictions. You will not copy or use the Licensed Drone Delivery Software and Third-Party Technology except as expressly permitted by this Agreement.  You will not relicense, sublicense, rent or lease the Licensed Drone Delivery Software and Third-Party Technology for third-party training, commercial time-sharing or service bureau use.  You will not, and will not permit any third party to, reverse engineer, disassemble or decompile the Licensed Drone Delivery Software and Third-Party Technology, except to the extent expressly permitted by applicable law, and then only after you have notified Walmart in writing of your intended activities, and will strictly adhere to any restrictions applicable to the Licensed Drone Delivery Software and Third-Party Technology. You may not resell the Licensed Drone Delivery Software and Third-Party Technology nor provide them to any third Party. 
   3. Ownership. As between the parties, Walmart and Drone Delivery Providers, as applicable, will retain all right, title and interest in and to the patent, copyright, trademark, trade secret and any other intellectual property rights in the Licensed Drone Delivery Software and Third-Party Technology and any derivative works thereof, subject only to the limited licenses set forth in this Agreement.  You do not acquire any other rights, express or implied, in the Licensed Drone Delivery Software and Third-Party Technology other than those rights expressly granted under this Agreement.   
   4. Licensed Drone Delivery Software and Third-Party Technology Support. Walmart and Drone Delivery Providers, as applicable, shall provide maintenance, support, upgrades, modifications or new releases solely with respect to the Licensed Drone Delivery Software and Third-Party Technology as they may become available and in their sole discretion. 
   5. Feedback. If you send or transmit any communications or materials to Walmart or any of the Drone Delivery Providers by mail, email, telephone, the Licensed Drone Delivery Software and Third-Party Technology or otherwise, suggesting or recommending changes to the Drone Deliveries Service or the Licensed Drone Delivery Software and Third-Party Technology, including without limitation, new features or functionality relating thereto, or any comments, questions, suggestions, or the like (altogether, the foregoing being referred to as “Feedback”) to Walmart or the Drone Delivery Providers, Walmart and the Drone Delivery Providers, as applicable, are free to use such Feedback irrespective of any other obligation or limitation between the parties governing such Feedback. You hereby assign to Walmart and the Drone Delivery Providers, as applicable to the subject of the Feedback, all right, title, and interest in, and Walmart and the Drone Delivery Providers, as applicable, are free to use, without any attribution or compensation to any party, any ideas, know-how, concepts, techniques, or other intellectual property rights contained in the Feedback, for any purpose whatsoever, although neither Walmart nor the Drone Delivery Providers are required to use any Feedback. 
3. Drone Deliveries
   1. Service Eligibility and Availability.  Where and when available, Drone Deliveries may permit you to purchase eligible items from Walmart or the Drone Delivery Providers, as applicable to your location, for delivery to eligible addresses by Drones operated by the Drone Delivery Providers. To receive Drone Deliveries, if available to you, you must select Drone Deliveries when presented with that option while using Walmart.com or the Walmart App, or, if Drone Deliveries are only made available to you through the Licensed Drone Delivery Software and Third-Party Technology, then you must purchase items for Drone Deliveries through the Drone Delivery Providers’ respective websites or mobile applications and comply with their respective purchase and delivery requirements. Availability of Drone Deliveries through Walmart.com or the Walmart App is always at Walmart’s sole discretion and subject to all terms of this Agreement, including each Drone Delivery Provider’s terms of service, which may also impact availability, eligibility of items for Drone Deliveries, hours of operation for Drone Deliveries, and delivery times to an eligible address. 
   2. Consent to Drone Deliveries. By electing to receive Drone Deliveries, you are consenting to and agreeing with all the following: 
      • When prompted to do so on Walmart.com, the Walmart App, or the Licensed Drone Delivery Software and Third-Party Technology, you will only confirm an area for Drone Deliveries that you are certain is clear of any obstacles to the drone’s flight and ability to operate and lower or otherwise place the items being delivered, including without limitation people and pets. 
      • You will remain at least twenty feet (20’) clear of the operating drone and the items it lowers or otherwise places in your designated delivery location until the drone has completed its operations and flown away from your designated delivery location.
      • You will not attempt to touch the drone at any time, throw any items at the drone at any time, or in any way seek to interference with its operation. 
      • You will comply with all instructions for Drone Deliveries provided to you on Walmart.com, the Walmart App, or the Licensed Drone Delivery Software and Third-Party Technology. 
      • You understand that there are certain risks associated with Drone Deliveries and the operation of drones in general that may not be fully detailed in this Agreement, which may include but are not limited to impacts of unexpected adverse flight conditions, mechanical or software failure affecting the drone’s flight capabilities, airborne objects colliding with drones, and human attempts to interfere with the drone. Despite all such risks, you consent to participate in Drone Deliveries. 
4. Information; Recordings; Notifications
   1. Information Provided by You and Delivery Personnel. If you place an order for Drone Delivery on Walmart.com or the Walmart App , the information that you provide in connection with such order will be subject to the Walmart Privacy Policy (available here).  Additionally, Drone Delivery Providers’ Drones may be equipped to collect images, video, or other types of recordings of their operating environment as part of their required Drone Delivery operations, which may include your property or you if you are present during a Drone Delivery (“Delivery Data”). The creation, use, preservation, and destruction of Delivery Data is solely subject to the Drone Delivery Provider Terms. 
   2. App Notifications. You may receive notifications via the Walmart App or the Licensed Drone Delivery Software and Third-Party Technology related to Drone Delivery onboarding, your Account, Walmart + membership, and the status of your Drone Delivery. You understand and agree that the Walmart App or the Licensed Drone Delivery Software and Third-Party Technology may not provide status or state on a Drone.  
   3. Phone Notifications. You may receive phone calls from Walmart or a Drone Delivery Provider at the phone number listed in your Account. Walmart or a Drone Delivery Provider will only contact you regarding issues related to your Drone Delivery.
   4. Email Notifications. You may receive email notifications related to Drone Delivery onboarding, your Account, Walmart + membership, and the status of your Drone Delivery. 
   5. Your Authorization. You hereby authorize Walmart and Drone Delivery Providers to create, collect, record, use, retain and destroy the Delivery Data, subject to the Walmart Privacy Policy and the Drone Deliver Providers’ respective terms of use. You also authorize Walmart and Drone Delivery Providers to contact you in connection with Drone Deliveries.  You also represent and warrant that you have the authority to grant the foregoing authorizations on your own behalf and on behalf of all others who participate your Drone Deliveries.  You understand and agree that to receive Drone Deliveries and use certain features of the Licensed Drone Delivery Software and Third-Party Technology you may need to set up a separate account with Drone Delivery Providers and that you are responsible for reviewing and agreeing to their applicable terms and conditions of use, license limitations, and privacy policies. 
5. Delivery Guarantees; Cancellation; Fees and Refunds
   1. Delivery Not Guaranteed. While Walmart and the Drone Delivery Providers aim to provide you with a delightful Drone Delivery experience within advertised or otherwise published t timeframes, neither we nor the Drone Delivery Providers can yet guarantee that a Drone Delivery will be completed within that time frame as a result of various regulatory as well as environmental and technological factors (e.g., flight regulations, weather conditions, and the operating limitations of Drone Delivery Providers’ aircraft). As such, please note that our timeframes for providing Drone Deliveries are only intended to convey our performance goals rather than service level guarantees or guarantees that we will be able to complete each Drone Delivery.
   2. Drone Delivery Cancellation. Walmart or a Drone Delivery Provider may cancel a Drone Delivery if, in their sole discretion, the Drone Delivery cannot be completed in compliance with applicable laws and regulations as well as these Drone Delivery Terms of Use or the Drone Delivery Provider Terms.   If a Drone Delivery Order is cancelled, you will receive notice from Walmart or a Drone Delivery Provider with additional information regarding your Drone Delivery. 
   3. Fees and Refunds 
      1. Fees. Walmart and the Drone Delivery Providers reserve the right to charge fees for Drone Deliveries (the “Drone Delivery Fees”). Please note that Drone Delivery Fees are subject to the terms displayed on Walmart.com, the Walmart App, or the Drone Delivery Providers’ websites or mobile applications, as applicable, at the time of Drone Delivery selection. In any case, you will only pay a single Drone Delivery Fee per Drone Delivery order you place on Walmart.com, the Walmart App, or the Drone Delivery Providers’ websites or mobile applications, as applicable. 
      2. Substitutions of Items Ordered for Drone Delivery. While we and the Drone Delivery Providers strive to provide your first choice of products, occasionally we or the Drone Delivery Providers may have to offer substitute products. We or the Drone Delivery Providers will notify you of substitutions made to your order via Walmart.com, the Walmart App, or the Drone Delivery Providers’ websites or mobile applications, as applicable, before your order is packaged for delivery.  You can reject any unwanted substitutions in Walmart.com or the Walmart App and you will not be charged for the rejected items.  
      3. Refunds of Drone Delivery Fees or Products. If you did not receive the items you ordered via Drone Delivery or your Drone Delivery was not completed, you can contact us at 1-800-WALMART to inquire about a refund of any Drone Delivery Fees you paid. Similarly, after delivery of your Drone Delivery order, you may seek to obtain a refund or replacement for any product, including substituted products. Any refunds and replacements, including of substituted products, will be governed in accordance with the Walmart.com Terms of Use (available here), including the Walmart Online Grocery Services terms set forth therein, as applicable. 
6. Liability
   1. Indemnification. You agree to defend (at Walmart’s option), indemnify, and hold each of Walmart and its Affiliates harmless from and against any and all liabilities, claims, damages, costs, and expenses, including attorneys’ fees and costs, arising from or related to your misuse of Drone Deliveries or any breach by you of the Agreement. We and our Affiliates reserve the right, in our sole discretion and at our expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you and, in any case, you agree to cooperate with us if and as requested by us (or one of our affiliates, as applicable) in the defense and settlement of such matter. 
   2. Damages to Your Property. If your property was damaged as a direct result of a Drone Delivery, we will work with you to correct the problem. Contact customer service by phone at 1-800-WALMART and we will work quickly towards a resolution.  
   3. Disclaimers. WITHOUT LIMITATION OF ANYTHING CONTAINED IN THE WALMART.COM TERMS OF USE (AVAILABLE HERE), DRONE DELIVERIES, AND ALL CONTENT, MATERIALS, PRODUCTS REQUESTED BY OR DELIVERED TO YOU, SERVICES, FUNCTIONALITY, AND OTHER ITEMS INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE DRONE DELIVERIES, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.  NEITHER WALMART NOR ANY OF ITS AFFILIATES MAKES ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE QUALITY, OPERATION OR PERFORMANCE OF DRONE DELIVERIES, OR THE CONTENT, MATERIALS, PRODUCTS, SERVICES, FUNCTIONALITY, OR OTHER ITEMS INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH DRONE DELIVERIES.  TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, WALMART AND ITS AFFILIATES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF TITLE, QUALITY, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.  
   4. Limitation of Liability. The liability of Walmart and its Affiliates will be limited in accordance with the ‘Limitation of Liability’ section of the Walmart.com Terms of Use (available here).
7. General
   1. Geographic Restrictions. Currently, Drone Delivery is only available in limited ZIP codes. If you do not live in such locations, you will not be able to use Drone Delivery. We look forward to expanded Drone Delivery service reaching your community.
